Net-Promotion Affiliate Terms and Conditions Agreement

The following terms and conditions reflects the obligations of the WEBMASTER and of NET-PROMOTION, INC. (here after called “NP”) when a WEBMASTER uses one of NP’s publicity programs to promote NP’s websites. All conditions must be adhered to, and are legally binding.

The following describes the general conditions that have to be followed by NP and by the WEBMASTER, independently of the specific program used by the WEBMASTER to promote NP’s websites.

• NP will not accept for a WEBMASTER to send traffic to its websites,promote its products or programs in a way that might generate serious complaints.
  
  
• No spam will be tolerated. Should NP receive complaints due to unsolicited emails sent by the WEBMASTER, he will be added to the NP blacklist and the WEBMASTER’s information will be sent to the appropriate organization's legal department. The WEBMASTER’s accounts will be terminated and payment will be void. This condition applies to, but is not limited to, newsgroups, icq, irc, email, etc.
  
  
• The WEBMASTER must respect NP’s good reputation.
  
  
• NP will not be held responsible for loss due to downtimes resulting from complications with hosting equipment, hardware or technical errors.
  
  
• The WEBMASTER may not promote any of NP’s programs on sites displaying child pornography, bestiality, hate sites or any other sites displaying illegal material. In such cases, the WEBMASTER’s accounts will be terminated and the payment void.
  
  
• The WEBMASTER will be solely responsible for the development, operation and maintenance of his website and for all materials that appear on his website. NP shall have no responsibility for the development, operation and maintenance of WEBMASTER's site and for all materials that appear on his website. The WEBMASTER shall also be responsible for ensuring that materials posted on his website do not violate or infringe upon any laws, including but not limited to 18 U.S.C. Section 2257, or the rights of any third party (including, for example, copyrights, trademarks, privacy, or other personal or proprietary rights), and ensuring that materials posted on WEBMASTER's site are not libelous or otherwise illegal. The WEBMASTER must have express permission to use another party's copyrighted or other proprietary material. NP will not be responsible if the WEBMASTER use another party's copyrighted or other proprietary material in violation of the law.
  
  
• The WEBMASTER is responsible for reading and respecting all the conditions defined by NP. If the conditions are not respected, the WEBMASTER’s account will be terminated and the payment void. No warnings will be issued, and no reasons or excuses will be accepted.
  
  
• The WEBMASTER is responsible for providing NP with a valid email address which will be used for contact purposes.
  
  
• NP must be able at all time to track the WEBMASTER’s hits and visit the websites from where the visitors are coming from.
  
  
• If the WEBMASTER cheats anywhere on the NP network, he will lose all accounts in all programs and will not be allowed to gain access to new accounts.
  
  
• Credit card fraud is closely monitored and will not be tolerated by NP. Every case is reported to the credit card company concerned (Visa, Mastercard,...) and the applicable authorities. In the event that we detect any sort of mechanism that falsely generates signups to the website, we will prosecute the WEBMASTER responsible to the fullest extent of the law.

• To link to our sites, the WEBMASTER may only use banners designed or approved by NP. The surfer has to click on the banner promoting a specific site from NP for that site to be loaded.
  
  
• The surfers sent by the WEBMASTER to NP’s websites must join the website(s) by free will, without receiving anything in return (services or goods).
  
  
• All hits must come from the WEBMASTER’s own webpage(s). The WEBMASTER is not authorized to use NP’s name, URL or anything associated with NP or its websites outside of his website(s).
  
  
• This program can only be used on Italian language websites or webpages. A surfer visitor sent by the WEBMASTER to NP's websites coming from a country different from Italy will NOT be counted.
  
  
• None of the WEBMASTER’s relatives are authorized to visit the NP websites using the WEBMASTER’s website(s) account link. The WEBMASTER is also not authorized to enter the NP websites using his account link. To test our system, the WEBMASTER must notify NP before or following the test, without fail.
  
  
• Misleading advertising by the WEBMASTER will be considered as cheating. This includes, but is not limited to, blind links, text links, thumbnail banners, ‘popups’, etc.
  
  
• The WEBMASTER  may not promote our click program on warez sites, password sites or any other non-adult web sites unless you have received an authorization before doing so from NP.
  
  
• The WEBMASTER is not allowed to open the website in a pop up window or in a console.
  
  
• In the event that any sort of mechanism that falsely generates hits to the website is detected by NP, the WEBMASTER will be prosecuted to the fullest extent of the law and his earnings will not be paid.
  
  
• A unique visitor is counted when a surfer reaches the second page of NP’s sites (after the warning page). To be counted, the visitor must be coming from the warning page. Visitors that are sent directly to any other pages of the sites will NOT be counted. A unique visitor is defined as a single visit to the site by a particular visitor within a 48h period and is tracked by NP using IP addresses.
  
  
• NP must be able to have access the pages where its banners are displayed, even if these pages are protected by a password (such as a member’s section). If the WEBMASTER refuses to cooperate, the WEBMASTER’s account will be terminated and the incomes generated beforehand by the WEBMASTER will not be paid.
  

The eventual chargeback fees or credits will be deducted. The WEBMASTER will receive the commissions generated from the WEBMASTER’S traffic as long as the surfers renew their memberships, without limitation.

COMMISSIONS = INCOMES - (CREDITS + CHARGE BACK + FEES)


• Members of the WEBMASTER’s family, friends, relatives as well as the WEBMASTER himself or anyone working with or for the WEBMASTER are not authorized to join NP’s site(s) through the WEBMASTER’s account. If the WEBMASTER wishes to test NP’s system, he must e-mail NP to indicate the transaction before or following the test, without fail.
  
  
• Signups will not be tracked by NP should the customer refuse to be tracked (by disabling cookies).

• The WEBMASTER cannot refer someone within his own organization or direct family (NP will monitor this carefully).
  
  
• The WEBMASTER cannot refer someone that already has an account in one of our programs.
  
  
• NP may deactivate any referred account that is not profitable without warning.
  
  
• Only for the Pay per Click Referral Program
  The WEBMASTER cannot refer someone if he is just a referred webmaster himself.
  

• The earnings due to the WEBMASTER are calculated by NP. The WEBMASTER can see the amount owed to him in the statistics section of NP’s program.
  
  
• All payments will be made in US Dollars only. The payment period is at the end of each month. Payments are sent by NP within 5 days of the end of a payment period. No payment for less than $50 will be issued unless otherwise requested by the WEBMASTER. Unpaid earnings are carried to the following payment period. The payments are made by checks or wire transfer only.
  
  
• Using a fake payout name or filling out the application with false information is considered as a fraud (especially if the WEBMASTER is caught cheating in another account). The account will be terminated and the payment void.
  
  
• If the WEBMASTER doesn’t receive a check sent by NP, NP will wait for a period of 30 days after the date of issue of the check before canceling it and replacing it. If the WEBMASTER wants NP to issue a replacement check before the end of the 30 days period, NP will charge a cancellation fee of $50 US per cancelled check.
  
  
• NP reserves the right to close ALL the accounts and void the payment of a WEBMASTER caught cheating with one of his account. In the event that NP detects any sort of fraud made by a WEBMASTER, NP will prosecute the WEBMASTER to the fullest extent of the law.
  
  
• If any or all publicity programs are closed by NP, the WEBMASTER will be notified and will be paid for all earnings generated up to that point in time, except in cases where it is determined that the WEBMASTER has cheated by violating these terms and conditions.
  
  
• If a WEBMASTER wants to close a publicity account, he must contact NP and request for his account to be closed. In this case, NP will pay for all earnings generated up to that point in time, except in cases where it is determined that the WEBMASTER has cheated by violating these terms and conditions.

• NP reserves the right to terminate this agreement or transfer an account from a publicity program to another at any time, for any reason, including, but not restricted to, profitability. In any case, the WEBMASTER will be notified and will be paid for all earnings generated up to that point in time, except in cases where it is determined that the WEBMASTER has cheated by violating these terms and conditions.
  
  
• If any of the conditions need to be changed, or new conditions added, NP will post a notice on the WEBMASTER’s statistic page. The WEBMASTER will then have seven (7) days to respect the new condition should it apply to him before NP starts enforcing it. If the WEBMASTER doesn’t respect the new condition after the said delay, his account will be terminated and the payment of incomes generated after the new condition is applicable will be voided.
